1. Who we are
The Platform is operated by Do Chat ("Do Chat", "we", "us", "our"). Do Chat provides digital marketplace infrastructure that lets property owners digitise the vendors and tenants on their property so that buyers can order and pay through a chat-based interface, and so that the property owner earns a share of the resulting transactions.
2. What Do Chat provides
Do Chat provides software and payment infrastructure that connects three parties: property owners, the vendors and tenants operating on their property, and the buyers who purchase from those vendors. We provide the ordering channel, the transaction processing, the automated split of funds, and reporting.
Do Chat is not itself the seller of any goods or services offered through the Platform. Vendors are the sellers. Do Chat facilitates the transaction and the movement of funds but is not a party to the contract of sale between a vendor and a buyer, except where expressly stated.
3. Accounts and eligibility
To use certain features you must register an account and provide accurate, current and complete information. You are responsible for safeguarding your account credentials and for all activity under your account. You must notify us promptly of any unauthorised use.
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you use the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation.
4. Roles on the Platform
Property owners
A property owner provides the physical property and grants Do Chat and its vendors the ability to operate the marketplace on that property. In return, the property owner earns a share of the transaction fee on sales made through the Platform on their property.
Vendors and tenants
A vendor lists goods or services and fulfils orders placed through the Platform. Vendors are independent businesses and are solely responsible for the goods and services they sell.
Buyers
A buyer browses vendors, places orders and pays through the Platform. Buyers contract directly with vendors for the goods and services they purchase.
5. Revenue split and payments
Do Chat operates on a revenue-split model. When a buyer pays for an order, the payment is split automatically at the point of transaction:
- the vendor receives the value of their sale, less the applicable platform fee;
- Do Chat retains the platform fee; and
- the property owner receives their agreed share of that platform fee.
For a single property, the property owner's share is a flat percentage of the platform fee agreed in writing before onboarding. For a property group or portfolio, the share is agreed on a custom basis. The specific percentages and payout schedule are set out in the applicable order form or partnership agreement, which forms part of these Terms.
Payouts are made to the bank account nominated by each party. You are responsible for the accuracy of your banking details. Do Chat is not liable for delays or losses arising from incorrect details you provide. Taxes on amounts you receive are your own responsibility.
Do Chat may use a third-party payment processor to effect payments. Your use of payment features may be subject to that processor's terms in addition to these Terms.
6. Vendor and tenant obligations
If you are a vendor, you agree that you will:
- only list goods and services you are legally entitled to sell;
- describe your goods and services accurately, including price, availability and any material terms;
- fulfil accepted orders promptly and to the standard represented;
- hold all licences, permits and registrations required for your business;
- comply with all applicable consumer-protection, food-safety, health and tax laws; and
- handle any refunds, complaints and disputes with buyers in good faith.
7. Property owner obligations
If you are a property owner, you agree that you will:
- have the authority to permit the operation of the Platform on your property;
- not interfere with the operation of the Platform or the fulfilment of orders by vendors; and
- keep confidential any non-public data made available to you through the owner dashboard, and use it only to manage your property.
8. Acceptable use
You must not use the Platform to:
- break any law or regulation, or facilitate any unlawful activity;
- sell prohibited, counterfeit, unsafe or restricted goods;
- defraud, deceive or mislead any other user;
- interfere with, disrupt, or attempt to gain unauthorised access to the Platform or its systems;
- upload malicious code or scrape data without permission; or
- infringe the intellectual-property or privacy rights of any person.
We may suspend or remove content or accounts that breach these Terms.
9. Intellectual property
The Platform, including its software, design, and the Do Chat name and marks, is owned by Do Chat or its licensors and is protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms. You retain ownership of the content you submit, and you grant Do Chat a licence to host, display and process that content as needed to operate the Platform.
10. Third-party services
The Platform relies on and links to third-party services, including WhatsApp, payment processors and scheduling tools. Your use of those services is subject to their own terms and privacy policies. Do Chat is not responsible for third-party services and does not control them.
11. Disclaimers
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, Do Chat disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, secure or error-free, or that goods and services offered by vendors will meet your expectations.
12. Limitation of liability
To the fullest extent permitted by law, Do Chat will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Platform. Our total aggregate liability to you for all claims arising in any twelve-month period will not exceed the total platform fees Do Chat retained from your transactions in that period, or ZAR 5,000, whichever is greater. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You agree to indemnify and hold harmless Do Chat and its officers, employees and agents from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your content, your goods or services, or your violation of any law or the rights of any third party.
14. Term and termination
These Terms apply while you use the Platform. You may stop using the Platform at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Platform. Provisions that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability and indemnity — will survive.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you, for example by posting a notice on the Platform or emailing you. Your continued use after the changes take effect constitutes acceptance of the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law rules. The courts of South Africa have exclusive jurisdiction over any dispute arising from these Terms, unless a different forum is required by applicable consumer law. Before starting formal proceedings, the parties will attempt in good faith to resolve any dispute by negotiation.
