Vendor Agreement

Last updated: 20 September 2026

This Vendor Agreement ("Agreement") governs the relationship between Do Chat and any business that sells goods or services through the Do Chat platform (a "Vendor"). By registering as a Vendor or listing on the Platform, you accept this Agreement. It applies together with our Terms of Service and Privacy Policy.

1. The relationship

You are an independent business. Nothing in this Agreement creates an employment, partnership, joint-venture or agency relationship between you and Do Chat. You are the seller of your goods and services; Do Chat provides the marketplace, ordering channel and payment infrastructure that connect you to buyers on a property, and settles the resulting funds.

2. Onboarding and eligibility

To sell on the Platform you must register and provide accurate business information, including your legal or trading name, contact details, banking details for payouts, and any licences or registrations we reasonably request. You must be legally entitled to operate your business and to sell the goods and services you list.

3. Listings and pricing

You are responsible for the content of your listings. You agree that each listing will:

You set your own prices. You may update listings and availability, and you are responsible for keeping them current so that buyers are not charged for items you cannot supply.

4. Orders and fulfilment

When a buyer places an order for your goods or services, a contract of sale is formed directly between you and the buyer. You agree to:

5. Fees and the revenue split

Do Chat charges a platform fee on each transaction processed through the Platform. When a buyer pays, the payment is split automatically at the point of transaction:

The applicable platform fee percentage is set out during onboarding and in your vendor dashboard. Do Chat may change the fee on reasonable prior notice; continuing to sell after the change takes effect constitutes acceptance. The property owner's share of the fee does not increase the amount you pay — the split is applied within the platform fee, not on top of your sale.

6. Payouts

Amounts due to you are paid to the bank account you nominate, on the payout schedule shown in your dashboard. You are responsible for the accuracy of your banking and tax details. Do Chat may withhold or delay a payout where reasonably necessary to investigate suspected fraud, a chargeback, or a breach of this Agreement, and will act in good faith to resolve the matter. You are responsible for your own taxes on amounts you receive.

7. Refunds and disputes

You are responsible for handling refunds, returns and complaints relating to your goods and services, fairly and in line with applicable consumer-protection law. Where a refund is due, the corresponding amounts (including any platform fee already split) may be reversed or offset against future payouts. Do Chat may mediate a dispute but is not obliged to resolve disputes between you and a buyer.

8. Legal and regulatory compliance

You must comply with all laws that apply to your business, including consumer-protection, food-safety, health-and-safety, licensing and tax laws. You must hold and maintain all permits and registrations required to operate. You are solely responsible for the safety, quality and legality of the goods and services you sell.

9. Standards and conduct

You agree not to:

10. Data and privacy

You will receive personal information about buyers only to the extent needed to fulfil orders and provide support. You must use that information only for those purposes, keep it secure, and comply with applicable data-protection law, including POPIA. You must not use buyer information for your own marketing without a lawful basis and, where required, consent. Our handling of personal information is described in our Privacy Policy.

11. Liability and indemnity

To the fullest extent permitted by law, Do Chat is not liable for any indirect, incidental, special or consequential loss arising from this Agreement, and our total aggregate liability to you in any twelve-month period will not exceed the total platform fees Do Chat retained from your transactions in that period. You indemnify Do Chat against any claim, loss or expense arising from your goods or services, your listings, your breach of this Agreement, or your violation of any law or third-party right. Nothing limits liability that cannot be limited by law.

12. Term, suspension and termination

This Agreement applies for as long as you sell on the Platform. Either party may terminate on reasonable notice. Do Chat may suspend or terminate your access immediately if you breach this Agreement, create risk to buyers, the property or the Platform, or if required by law. On termination, you must fulfil any accepted orders, and outstanding payouts due to you (net of refunds, chargebacks and amounts owed) will be settled in the ordinary course. Sections that by their nature should survive — including fees, payouts, liability, indemnity and data — survive termination.

13. General

This Agreement, together with the Terms of Service and Privacy Policy and any order form, is the entire agreement between you and Do Chat regarding your use of the Platform as a vendor. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. This Agreement is governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction over any dispute, subject to applicable consumer law.
